Introduction

Welcome to the website of TwoCall ("The Site"). TwoCall services (“the Service) are made available to you by UBQ, Inc., a company incorporated in Hong Kong Special Administrative Region of the Peoples’s Republic of China (hereinafter referred to as "UBQ"). Please read the following User Agreement carefully before using this Site or downloading any of our softwares, so that you are aware of our terms of conditions and your obligations with respect to TwoCall services.

By using the Site, downloading software or making TwoCall Calls, you signify your irrevocable acceptance of this User Agreement. We reserve the right to change, modify, suspend or discontinue any portion of the Site and this User Agreement. without notice at any time. We may also impose limits on certain features or restrict your access to parts or the entire Site without notice or liability.Your continued use of the Site shall be deemed as irrevocable acceptance of those revisions and the changes in this User Agreement.



Information that TwoCall Collects

When you use TwoCall services we will request for your mobile phone number as a necessary step in order to offer the service. Your mobile phone number does not necessarily identify you personally. We may request your email address or other relevant personal information for identification or contact purposes. It is your responsibility to provide TwoCall, in good time with any data or information necessary to a proper provision of the VoIP service.



Accounts and Security

By using the Services, you authorize the charges you incurred to be deducted from your TwoCall account. You shall be solely responsible for safeguarding you account/PIN from any unauthorized use. You are responsible for all transactions taken place in your account, whether or not authorized by you. If TwoCall suspects fraudulent use of your account, it may suspend or terminate your TwoCall account without notice. If you suspect fraudulent use of your account, you should contact TwoCall customer services immediately. TwoCall will not honor any refunds after purchases have been made from your account. TwoCalll shall not be made liable for any losses, damages, claims, costs or expenses suffered or incurred from theft, misuse or unauthorized use of your PIN or as a result of using TwoCall services. The TwoCall Scratch Card is non-refundable and non-exchangeable.



Privacy

No warranties

TwoCall makes no warranty, stated or implied, with respect to the Service provided hereunder, and expressly disclaims any warranty of merchantability, satisfactory quality, description or fitness for any particular purpose or function. No advice or information, whether oral or written, obtained by Customer from TwoCall or its distributors will create any warranty not expressly set out in these User Agreement.

Unless otherwise specified, UBQ is not responsible for providing you with any hard copy of call detail records and/or transaction statements with the usage of your TwoCall account.

TwoCall does everything withint its power to provide the Services with minimum disruption. However we cannot guarantee that the Service will always function without disruptions, delay or other imperfections. Since the Service may be, partially or completely, transmitted through public Internet lines and the public switched telephony network, it may experience power outages, Internet service disruption, packet loss, and long delays. Additionally, You also understand that calls to or from the public switched telephony network are not encrypted and as such, could be potentially subject to eavesdropping by law enforcement officials or other third parties over the public Internet. TwoCall will not be liable for any disruption, delays, eavesdropping or other quality issues with the Service.



No Emergency Calls

By entering into this User Agreement, you acknowledge and agree that the Service does not and is not intended to support or carry emergency calls.



International Use


TwoCall makes no representations that the Services are appropriate or available for use at locations outside of Hong Kong. Use of the Services may not be legal by certain persons or in certain countries. TwoCall’s offer of the Services is void in jurisdictions in which the Services are prohibited by law. If you use the Services in a jurisdiction which prohibits the Services offered, you do so at your own risk and are responsible for the compliance with the laws and regulations of that jurisdiction.

Any fraudulent, abusive, or otherwise illegal activity may be grounds for termination of your Account, at TwoCall’s sole discretion, and you may be reported to appropriate law-enforcement agencies when necessary.

Charges

Rates charged for calls are subject to change without notice.

All charges for the Services are based on the rates as set out in our Rate Table on the Site. TwoCall may change the rates at any time without prior notice. You are deemed to have knowledge of and accepted such rates upon using the Services. Rates are based on a per minute basis, and call duration for each call is calculated and billed in full minute increments after the initial one-minute.

Charges for a call commence as soon as the called number answers by way of a person, machine or otherwise. The credit balance of the caller’s account /Card is reduced for each answered call in accordance with the Rates.

A call is immediately disconnected or terminated when the account’s/Card’s credit balance becomes zero. Under no circumstance shall TwoCall be liable to Customer or any third party for any losses, damages, claims, liabilities, costs or expenses resulting from any termination or disconnection of a call as a result of zero balance under any circumstances.



Links

TwoCall may provide links to other sites that are deemed relevant and interesting to our users (“Link Sites᾿). TwoCall is not responsible for the content on the Link Sites and is not responsible for the accuracy of the information and intellectual property notices therein. Some of these Link Sites may provide you with opportunities to purchase products (“Products᾿). We do not endorse any of the Products nor do we make any representations or warranties in connection with those Products.



Adjustment of the Service

TwoCall reserves the right to adjust the Service at any time, for example to conform to legal and regulatory obligations. Your continued use of the Service shall constitute your acceptance of the revised T&C. The most recent version of this Agreement can be found on www.twocall.com



Submissions

Certain parts of the Site may ask for written suggestions or problem reports such as using our contact form or problem report form (“Submissions᾿). In such a case, please read carefully the specific terms which govern those Submissions (“Additional Terms᾿). In the absence of Additional Terms, the TwoCall T&C shall govern your legal rights and privacy policy with respect to those Submissions.

The Submissions shall be deemed the property of TwoCall. TwoCall shall exclusively own all rights to the Submissions throughout the universe in perpetuity and shall be entitled to use the Submissions for any purpose whatsoever, commercial or otherwise, without compensation to the provider of the Submissions. In any event, any Submissions you send to TwoCall will not be treated as confidential and TwoCall shall not be liable for any disclosure of the Submissions.



Jurisdictional Issues

TwoCall makes no representations that the Services are appropriate or available for use at locations outside of Hong Kong. Governing Law

You agree to use the Services for lawful purposes. You may not use the Services for tele-marketing, fax broadcasting, fax blasting, or illegal purposes. If TwoCall suspects fraudulent use of your account, it may suspend or terminate your account without notice.

By accessing this Site, you and TwoCall agree that all matters relating to your access to, or use of, this Site shall be governed by and construed in accordance with the Basic Law of the Hong Kong Special Administrative Region of the Peoples’s Republic of China, without giving effect to any principles of conflicts of law. And the parties agree to submit to the non-exclusive jurisdiction of the courts of Hong Kong.

TwoCall’s operation of the Service is subject to suspension, variation or cancellation by reason of war, riots, fire, flood, strike or any other causes beyond TwoCall’s control. TwoCall shall have no liability to Customer for such suspension, variation or cancellation.

You acknowledge and agree that by clicking on the ACCEPT button or similar buttons or links as may be designated by TwoCall to show your reading, understanding and approval of any foregoing texts and/or to download and install the TwoCall Client Dialer, you are entering into a legally binding contract.
